As you may know that Kanex Fire Solutions Limited is one of the leading manufacturers of variety of fire fighting equipment in the brand Name “KANEX”. We hereby appoint Name of the dealers as our Authorized Dealer, subject to following condition.

NOW THIS AGREEMENT WITNESSES as under

• That the Kanex Fire Solutions Limited hereby appoints the Dealer as its dealer for selling its products in Locations.
• That the agreement shall remain in force originally for One years commencing from 1stApril 2016 to 31st March 2017 but may be renewed for similar periods on the terms and conditions as may be agreed by and between the parties hereto.
• That the Dealer shall keep a minimum stock of Rs. 5 Lakhs of Kanex Fire Solutions Limited’s products described in the Schedule to meet the demand of the ultimate users/consumers, and such quantity shall be reviewed every quarter in the light of the sales during the previous quarter the demands, consumers likings and the market trends. Dealer are expected to give business as promised target amount or nearby in a calendar year in order to remain a dealer.
• That the Kanex Fire Solutions Limited shall supply to Dealer its products on credit as per the agreed terms during the Purchase from the date of the invoice and shall charge interest at the rate of 24 per cent per annum in case of overdue.
• That the Kanex Fire Solutions Limited shall supply to the Dealer, publicity and advertisement material such as Brochure/Catalogue, Sales plan, Circulars, Suggestions, Commercial & technical Information, and other Publications which seller may have available from time to time for distribution and which seller, in its sole discretion, feels will be useful to dealers in sufficient quantity for display at the firm’s sales depot and for the distribution in its area of operation.
• That the accounts between the parties will be settled half-yearly and the credit/debit balance shall be squared up by making necessary payments by the parties. Dealer is solely responsible for due Payment of its Taxes obligations to government.
• At least once a year, seller will contact Dealer to review the business, ask for feedback from Dealer, and update Dealer’s contact information and business metrics. It is required for dealer to be available for the annual update, given reasonable scheduling.
• The Kanex Fire Solutions Limited shall be at liberty to terminate this agreement by giving the Dealer one month’s notice in writing and on the expiry of the notice period, this agreement shall stand terminated and the parties shall settle their accounts within a week thereafter.
• The Dealer shall be not be entitled to appoint sub-dealers or any other basis, will function in accordance with the provisions of this agreement and not do anything which is detrimental to the interest of the Kanex Fire Solutions Limited or the Dealer and the collective interests of both.
• Except for the warranty extended to original purchases of the Products from Seller, SELLER MAKES NO WARRANTY EXPRESS OR IMPLIED, AND ANY IMPLIED WARRANTY, INCLUDING WITHOUT LIMITATION, ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE AND ANY SUCH WARRANTIES ARE EXCLUDED FROM THIS AGREEMENT. Seller shall have no liability if the goods are subject to abuse, misuse or negligence or are modified or altered in any way.
• Distributor/ Dealer shall solely responsible for all the commercial transactions & commitments to the customers by him. Kanex Fire Solutions Limited is only responsible for the Warranty and Quality issues related with supplies and not bounded with any of the commitment to the customer on behalf of Kanex Fire Solutions Limited without written consent from Kanex Fire Solutions Limited For Maintenance, Refilling, servicing & AMC job Service providers are solely responsible for any warranty & guaranty For Selection, Refilling, HP Test, Installation & Maintenance strictly as per IS2190
• Distributor/ Dealer shall not indulge in any unethical/immoral practices including bribery.
• Distributor/ Dealer shall not indulge in any unethical/immoral practices including bribery.
• Kanex Fire Solutions Limited will be not responsible if found any unethical practices between Dealer & User. Any unethical practice with customer and received any cpmlaind with necessary documents we will terminate dealership with immediate effect and also take necessary legal action.
• For Selection, Refilling, HP Test, Installation & Maintenance strictly as per IS 2190
• Taxes – Forms - Applicable Taxes, freight, Octroi, entry tax, VAT, CST or any levies will be charged extra and C Form needs to be submitted before end of next quarter from date of billing. Failing which Kanex Fire Solutions Limited reserves right to raise debit note for differential tax plus interest & penalty
• Distributor/ dealer shall use all PPE’s & will take safety while demo/training to the customer as per the norm required. Any of the accident or injury to Dealer/Distributor / Customer/ or his employee He will be solely responsible for such event.
